1. Agreement to Terms

Welcome to Nice Play! These Terms of Service ("Terms") govern your access to and use of the Nice Play mobile application and website (collectively, the "Service"), operated by Nice Play ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old to use Nice Play. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable local, state, national, and international laws
• You have not been previously suspended or removed from the Service

If you are under 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for safeguarding your password and other authentication credentials. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 One Account Per Person

Each user may maintain only one account. Creating multiple accounts or using the Service to circumvent suspensions or bans is prohibited and may result in permanent account termination.

4. Acceptable Use Policy

4.1 Permitted Uses

Nice Play is designed to help sports enthusiasts organize events, connect with other players, and build communities. You may use the Service to:

• Create and manage sports events and activities
• Connect with other users and form groups
• Share content related to sports and recreational activities
• Communicate with other users about events and activities
• Give and receive props (praise) to recognize positive contributions

4.2 Prohibited Conduct

You agree NOT to use the Service to:

• Harass or Harm Others: Engage in harassment, bullying, stalking, threatening, or intimidating behavior
• Hate Speech: Post content that promotes violence or hatred against individuals or groups based on race, ethnicity, religion, disability, gender, age, veteran status, or sexual orientation
• Illegal Activity: Engage in or promote illegal activities, including but not limited to drug use, underage drinking, or gambling
• Spam or Scams: Send unsolicited messages, engage in phishing, or promote scams or fraudulent schemes
• Impersonation: Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Sexual Content: Post sexually explicit, pornographic, or suggestive content
• Violence: Post graphic violence or threats of violence
• Self-Harm: Promote or encourage self-harm or suicide
• Intellectual Property Infringement: Post content that infringes on others' intellectual property rights, including copyrights, trademarks, or trade secrets
• Private Information: Share others' private or personal information without their consent (doxxing)
• Malware or Hacking: Distribute viruses, malware, or engage in hacking or unauthorized access attempts
• System Abuse: Interfere with or disrupt the Service, servers, or networks connected to the Service
• Automated Access: Use bots, scrapers, or other automated means to access the Service without our permission
• Commercial Use: Use the Service for commercial purposes without our written consent (e.g., advertising, selling products, recruiting for businesses)

5. User-Generated Content

5.1 Your Content

"User Content" means any content, including text, photos, videos, locations, event details, posts, comments, and other materials that you submit, upload, or transmit through the Service.

You retain ownership of your User Content. However, by posting User Content on the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.

5.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. By posting User Content, you represent and warrant that:

• You own or have the necessary rights to post the content
• Your content does not violate these Terms or any applicable law
• Your content does not infringe on any third party's rights (copyright, trademark, privacy, publicity, etc.)
• Your content is accurate and not misleading

5.3 Content Moderation

We reserve the right, but are not obligated, to monitor, review, and remove User Content that violates these Terms or is otherwise objectionable. We may take action including:

• Removing or hiding content
• Issuing warnings to users
• Suspending accounts temporarily
• Permanently banning accounts
• Reporting illegal content to law enforcement

Content moderation decisions are made at our sole discretion. We are not responsible for User Content posted by others.

5.4 Reporting Violations

If you encounter content or behavior that violates these Terms, please report it to us at support@niceplay.gg. We will review all reports and take appropriate action.

6. Events and Activities

6.1 Event Organization

Nice Play provides tools to organize and coordinate sports events. Event organizers are responsible for:

• Providing accurate event information (time, location, requirements)
• Ensuring they have permission to use event venues
• Complying with local laws, regulations, and venue rules
• Managing attendee safety and behavior during events
• Obtaining necessary permits, insurance, or waivers

6.2 Event Participation

By attending events organized through Nice Play, you acknowledge that:

• You participate at your own risk
• Nice Play is not responsible for injuries, damages, or losses incurred during events
• You are responsible for your own safety and conduct
• You must comply with venue rules and local laws
• Event organizers, not Nice Play, are responsible for event execution

6.3 Liability Waiver

Sports activities involve inherent risks of injury. By using Nice Play to organize or participate in events, you acknowledge and accept these risks. You agree to release, indemnify, and hold harmless Nice Play, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your participation in events.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content (excluding User Content), is owned by Nice Play and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission. You may not reverse engineer or attempt to extract the source code of our software.

7.2 Trademarks

"Nice Play" and our logo are trademarks of Nice Play. You may not use our trademarks without our prior written consent.

7.3 Copyright Infringement

We respect intellectual property rights and expect our users to do the same. If you believe content on Nice Play infringes your copyright, please contact us at legal@niceplay.gg with:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on our Service
• Your contact information (email, phone, address)
• A statement that you have a good faith belief that use is not authorized
• A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

We will respond to valid DMCA takedown notices and may terminate accounts of repeat infringers.

8. Third-Party Services and Links

The Service integrates with third-party services including Mapbox (maps), Open-Meteo (weather), and others. Your use of these services is subject to their own terms and policies. We are not responsible for third-party services or their content.

The Service may contain links to third-party websites. We do not endorse or control these websites and are not responsible for their content, privacy practices, or terms of service.

9. Payments and Subscriptions

Currently, Nice Play is free to use. If we introduce paid features or subscriptions in the future, we will update these Terms and notify you. Any paid features will be subject to additional terms provided at the time of purchase.

10. Termination and Suspension

10.1 Termination by You

You may terminate your account at any time by contacting us at support@niceplay.gg. Upon termination, your account and data will be deleted in accordance with our Privacy Policy.

10.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Illegal or fraudulent activity
• Harm to other users or the Service
• Prolonged inactivity (after notice)
• Any other reason at our sole discretion

10.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• Your User Content may be deleted (subject to our Privacy Policy)
• Provisions that should survive termination (disclaimers, limitations of liability, indemnification) will remain in effect

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING USER CONTENT OR THIRD-PARTY CONTENT

WE DO NOT WARRANT THAT:

• The Service will meet your requirements
• The Service will be available at any particular time or location
• Any defects or errors will be corrected
• The Service is free of viruses or harmful components
• Information on the Service is accurate, complete, or reliable

YOU ASSUME ALL RISK WHEN USING THE SERVICE AND PARTICIPATING IN EVENTS ORGANIZED THROUGH THE SERVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NICE PLAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING USER CONTENT
• ANY CONTENT OBTAINED FROM THE SERVICE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
• EVENTS ORGANIZED OR ATTENDED THROUGH THE SERVICE
• INJURIES OR DAMAGES INCURRED DURING SPORTS ACTIVITIES

IN NO EVENT SHALL NICE PLAY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Nice Play and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Events you organize or attend through the Service
• Your conduct in connection with the Service

This indemnification obligation will survive termination of these Terms and your use of the Service.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@niceplay.gg. We'll try to resolve the dispute informally by contacting you. If a dispute is not resolved within 30 days of submission, you or Nice Play may bring a formal proceeding.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14.3 Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the federal or state courts located in San Francisco County, California. You consent to the personal jurisdiction of these courts and waive any objection to venue.

14.4 Class Action Waiver

YOU AND NICE PLAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and Nice Play regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Export Controls

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.

15.7 Feedback

We welcome your feedback and suggestions about the Service. You agree that we may use any feedback you provide without any obligation to you, and you hereby grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Service.
